MAIL-IN ALTERNATE ENTRY METHOD: To enter without a purchase or without going online, please print your complete name, age, street address (no P.O. Boxes), city, state, Zip code, and the words “Fifth Third Bank Holiday Payback Credit Sweepstakes Entry”, day and evening telephone numbers, e-mail address (optional) on a 3”x5” paper, place in stamped envelope and mail to: “Fifth Third Bank Holiday Payback Credit Sweepstakes Entry”, P.O. Box 411088, Chicago, IL 60141. Mail-in entries must be postmarked by 12/31/12 and received by 1/7/13 to be eligible for the drawing. Limit one entry per outer mailing envelope.

There is a limit of 25 entries per week regardless of method of entry and all entries received via purchase and online methods of entry must be received by 11:59:59 p.m. EST on 12/30/12 to be eligible for the drawing. Proof of submitting an entry via Online entry method (such as a copy of a “thank you” message) does not constitute proof of actual receipt by Sponsor of an entry for purposes of this Sweepstakes. ELIGIBILITY: Sweepstakes open to Fifth Third Bank customers (as defined above) with an active account in good standing who are legal residents of the 50 U.S. states or District of Columbia, 18 years of age or older at time of entry. Employees of Fifth Third Bank (“Sponsor”), its parent, affiliates, subsidiaries, advertising, promotional and judging agencies engaged in the web site development, production or distribution of materials for this Sweepstakes, and Marden-Kane, Inc. (collectively, the “Sweepstakes Entities”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate. Sponsor reserves the right to verify eligibility qualifications of any winner. Sponsor is not required to enter into correspondence with entrants, including via e-mail. RANDOM DRAWINGS DETAILS: A Random drawing will be held on or about 1/31/13 from all eligible entries received under the supervision of Marden-Kane, Inc., an independent judging organization at Lake Bluff, IL. Decisions of the judges are final on all matters relating to this Sweepstakes. Estimated odds of winning Grand Prize: 1:204,000; however, the actual odds will depend on the number of eligible entries received. Prize is nontransferable and no substitutions are allowed except by the Sponsor who reserves the right to award a prize of equal or greater approximate value and comparable use. Limit one Grand Prize winner per household.

PRIZES: Fifty (50) Grand Prizes: Each prize will be equal to a combined total dollar amount of all purchase transactions made on a winner’s credit card for one (1) entire day (one entire day is defined as 12:00:01 am - 11:59:59 p.m. EST) on any day during the Sweepstakes Period from $5 up to a maximum of $2,000 per winner. Prize will be awarded as a statement credit to winner’s existing credit card account, Maximum Value: $2,000 each prize. Winners who are Fifth Third Credit cardholders who enter by the alternate online or write-in means of entry will receive $2,000 awarded as a statement credit to winner’s existing credit card account. Winners who are not Fifth Third Credit cardholders will receive a $2,000 pre-paid Debit Card. Terms and Conditions may apply regarding the use of the pre-paid Debit Card. All federal, state or local income, sales and use taxes or other taxes, or additional service fees not expressly included above are the responsibility of the winner. Grand Prize Winners will be required to provide their Social Security number for tax reporting purposes for the 2013 tax year if their prize amounts to $600 or more.

GENERAL CONDITIONS: All materials submitted become the sole property of the Sponsor and will not be returned. Potential prize winners will be notified by mail, phone and/or email and must sign and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form, and (where legal) a Publicity Release within 7 days of attempted notification. If a potential winner is a minor under the law of his/her jurisdiction of residence (residents of Alabama and Nebraska must be 19 years of age or older and residents of Mississippi must be at least 21 to be age of majority) at the time of entry, his or her respective parent or guardian may be required to execute an Affidavit acknowledging, confirming and consenting to the Liability Release and where legal, a Publicity Consent document in order to accept the prize on behalf of the winner. If parent or guardian is unavailable to execute this document, the winner will not receive the prize and an alternate winner will be selected and notified. If winner is found to have falsified any entry data or material, the winner forfeits his/her prize and is disqualified, and an alternate winner will be selected according to the original winner selection method. Upon disqualification, no prize will be awarded. If prize notification is undeliverable or if potential winner does not comply within the applicable time period as stated above, he/she will be disqualified and an alternate winner selected. Allow up to 4 weeks for prize verification and award to be deposited in winner’s credit card account (as applicable). Acceptance of prize constitutes permission to the Sponsor and its agencies to use winner’s name, city, state, comments, photograph, voice and/or likeness for purposes of advertising, trade and/or publicity without further compensation in all media now known or hereafter discovered, worldwide and on the World Wide Web, without notice, review or approval, except for residents of Tennessee and wherever else prohibited by law. Winner, who is a Fifth Third Bank customer who may also be a credit card cardholder, must have an account in good standing in accordance with the terms and conditions described in the Fifth Third Bank Credit Card Agreement in order to receive the prize. In the instance of co-applicant cardholders, the winner is the primary cardholder. LIMITATIONS OF LIABILITY: Sweepstakes Entities, assume no responsibility or liability for transactions, Online or Mail-in entries that are: (a) undecipherable, late, lost, misdirected, incorrectly addressed, damaged, torn, postage due mail, incorrect or contain inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of the Internet or other media chosen to enter the Sweepstakes with or any combination thereof, or; (e) any injury or damage to participant’s or to any other person's electronic device which may be related to or resulting from any attempt to participate in the Sweepstakes or download any materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and void any entries submitted fraudulently or cancel, terminate, modify or suspend the Sweepstakes in whole or in part and award the prize in a random drawing from among all eligible credit transactions and all non-suspect or unaffected entries received Online and via Mail-in as of the termination date. CONDUCT: Failure to comply with these Official Rules may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Sweepstakes; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the United States and the State of Ohio, without giving effect to any choice of law or conflict of law rules (whether of the State of Ohio, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Ohio.

Except where prohibited, as a condition of participating in this Sweepstakes, each participant agrees that any and all disputes that cannot be resolved between the participant and any Released Party, claims and causes of action arising out of or connected with this Sweepstakes, or the prize awarded, or the determination of the winner must be resolved individually, without resort to any form of class action. In the event of a dispute over the identity of any potential winner, the entry will be declared made by the authorized account holder of the Twitter account or email address submitted at the time of entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder. It is the sole responsibility of the entrant to notify the Sponsor in writing if the entrant changes his or her account, email or postal address during an Entry Period. All entries become the property of Sponsor and will not be returned to entrant.

At the time of entry, entrants may have the opportunity to opt-in to receive further communications from the Sponsor. Entrants are NOT required to opt-in and opting in will NOT increase your chances of winning. If an entrant chooses to opt-in, the entrant thereby grants the Sponsor permission to send him/her future communications regarding services, incentives, offers, promotions, or other messaging related to the Sponsor’s services and products. Any information collected from the Sweepstakes shall be used only in a manner consistent with the consent given by the entrants at the time of entry, with these Rules, and with the Sponsor’s Privacy Policy found at https://www.53.com/site/global/ privacy-security. In the event of any discrepancy between the privacy policy and the Rules, the privacy policy shall control and govern. By entering these Sweepstakes, entrant is providing information to Sponsor and not to Twitter. Personal data, such as names and addresses, may be stored and otherwise used for the purpose of administering the Sweepstakes and selecting and notifying the winner(s).

4) PRIZE DRAWINGS AND NOTIFICATIONS. Potential winner(s) will be selected in a random drawing via www.random.org for each Entry Period indicated in Rule 1 above. The drawings will be conducted under the supervision of sweepstakes administrator, whose decisions are final and binding on all matters relating to this Sweepstakes. Potential winners are subject to eligibility verification and compliance with these Rules. You are not a winner of any prize until your eligibility with these Rules has been confirmed. Sponsor will attempt to notify each potential winner via direct message on Twitter within one (1) day of the prize drawing using the Twitter account provided at time of entry (it is each entrant’s/winner’s sole responsibility to change account settings, as necessary, to allow for receipt of this notification). Each potential winner will be required to provide mailing address information (e.g., full name, street address, city, state, and ZIP) along with age verification within seven (7) days of notification in order to receive prize delivery. Sponsor will not be liable for unsuccessful efforts to notify a winner. Acceptance of any prize constitutes permission for the Sponsor and its designees to use winners’ names and likenesses for advertising and promotional purposes without compensation unless prohibited by law. Failure to complete and return the documents in the time noted or if prize notification is undeliverable will result in disqualification and an alternate winner will be randomly selected and notified.

5) PRIZES/ODDS: Five (5) $100 Fifth Third Bank Gift Cards will be awarded in each Entry Period. Approximate Retail Value (“ARV”) for each prize is $100.00. The total ARV of all prizes is $3,000.00. All entries have the same chance of winning. The odds of winning a prize are subject to the total number of eligible entries received for each Entry Period. Prizes are non-transferable, non-assignable, and not redeemable for cash, in whole or in part. Prizes will be awarded “as is” without any warranties, guarantees or representation of any kind, expressed or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). Promotion Entities, in their discretion, may substitute a prize of equal value or greater approximate value and comparable use for any reason. All taxes (including federal and state income taxes) and any other expenses on the receipt and use of prize are solely the responsibility of the winner(s). Any winner who receives at least $600.00 or more in prizes from Sponsor during a calendar year will receive an IRS Form 1099-MISC and a copy of such form will be filed with the IRS. Winner is advised to seek independent legal counsel regarding the tax implications associated with winning and/or claiming any prize. Winner is not responsible for the shipping costs associated with any prize. By accepting a prize, each winner acknowledges compliance with these Rules.

6) CONDUCT: This Sweepstakes is subject to all federal, state and local laws/regulations. By entering this Sweepstakes, entrants agree that the decisions of Sponsor and/or the judges that shall be final and binding in all respects. These Rules are accessible from www.53HolidayPayback.com throughout the Sweepstakes Period. Failure to comply with these Rules may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Sweepstakes; or to be acting in any manner deemed by Sponsor to be in violation of the Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. 7) LIMITATIONS OF LIABILITY: Promotion Entities assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of the Internet or any combination thereof; or (e) any injury or damage to participant’s or to any other person's electronic device which may be related to or resulting from any attempt to participate in the Sweepstakes or download any materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part.

8) ENTRANT RELEASES: All entrants, as a condition of entry into the Sweepstakes, agree to release and hold harmless Twitter, and the Promotion Entities, and their respective parents, subsidiaries, affiliates, divisions, distributors, suppliers, printers, application and website developers, advertising, promotional or judging agencies, from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained in connection with accessing the Sweepstakes page; submitting an entry or otherwise participating in any aspect of the Sweepstakes; the receipt, ownership or use of any prize awarded; preparing for, participating in or traveling to and/or from any prize-related activity, or any typographical, printing or other inadvertent error in these Rules or the announcement of offering of any prize. The winner shall bear all risk of loss or damage to their prize after it has been delivered. Promotion Entities make no representations or warranties of any kind concerning the appearance, safety, or performance of any prize. Except for residents of Tennessee and where prohibited by law, winners grant to Sponsor the right to print, publish, broadcast and use worldwide in any media now known or hereinafter known and without limitation the winner’s name, address, voice, statement, account information, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor.

9) DISPUTES: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of Ohio, Cincinnati seat of court or the appropriate Ohio state court located in Hamilton County, Ohio; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and/or consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
